Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(b) On February 5, 2024, Raymond G. Young, a member of the board of directors (the “Board”) of Marsh & McLennan Companies, Inc. (the “Company”), informed the Company of his intention not to stand for re-election at the Company’s 2024 annual meeting of stockholders on May 16, 2024. Mr. Young’s decision is not due to any disagreement with the Company on any matter relating to its operations, policies or practices. The Board and management thank Mr. Young for his service and contributions to the Company during his tenure.
