Resignation of Director

On December 2, 2025, Scott Klossner, director of Nvni Group Limited (the “Company”), notified the Company that he would resign as director of the Company, effective immediately. Mr. Klossner’s resignation is not due to any disagreement with the Company, or the Company’s management, on any matter relating to the Company’s operations, policies or practices.
