Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 29, 2023, William F. Lacey notified Parker-Hannifin Corporation (the “Company”) of his intention to resign from the Board of Directors (the “Board”) effective immediately.

Mr. Lacey’s resignation is not related to any disagreements relating to the Company’s operations, policies or practices. Mr. Lacey indicated that he is resigning from the Board to pursue another career opportunity which conflicts with his ability to continue to serve on the Company’s Board.
