Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 23, 2026, Quince Therapeutics, Inc. (the “Company”) and Charles Ryan, the Company’s President, determined that Mr. Ryan’s last day of employment will be September 8, 2026. In connection with the conclusion of his service as the Company’s President, Mr. Ryan will be eligible for certain severance benefits under the terms of his Executive Change in Control and Severance Agreement, dated September 1, 2023, by and between Mr. Ryan and the Company, as described under “Executive Compensation—Potential Payments Upon Termination or Change of Control” in the Company’s definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on August 25, 2026.
