ITEM 5.02 Departure of Directorsor Certain Officers.


On October 14, 2025, Mr. Alex Rose tendered his resignation as Executive Vice President, General Counsel & Secretary of Braemar Hotels & Resorts Inc. (the “Company”) to be effective as of December 16, 2025. The resignation was not the result of any disagreement with the Company on any matter related to the Company’s operations, policies or practices.
