Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;

On April 4, 2023, Director Lt. Gen. Emil R. Bedard notified the Chair of the Board of Directors of Intellicheck, Inc. (the “Company”) that due to changed personal circumstances, he was resigning from the Board of Directors. Such resignation is effective March 31, 2023. General Bedard’s resignation did not result from any disagreements between himself and the Company on any matter concerning its operations, policies, or practices.

Statement of Guy L. Smith, Chairman, IDN regarding General Bedard stepping down from the IDN Board:

“On behalf of our shareholders and Board members, we want to express our appreciation for the many years of dedicated service General Bedard brought to the Board. His counsel and professionalism over the years have been an important component of IDN's continuing success. We all wish him well in his next endeavors."
