Zhibao Technology Inc. (the “Company”)
is filing this Amendment No. 1 to the Company’s Annual Report on Form 20-F (the “Amendment”) for the fiscal year ended
June 30, 2025, as filed with the United States Securities and Exchange Commission (“Commission”) on January
9, 2026, solely to file certain exhibits thereto.
As required by Rule 12b-15 under the Securities Exchange Act of
