“In connection with the Company's assessment of going concern considerations in accordance with Financial Accounting Standards Board ("FASB") Accounting Standards Codification ("ASC") 205-40, "Presentation of Financial Statements—Going Concern," management has determined that the Company's projected future liquidity position and subsequent dissolution raise substantial doubt about the Company's ability to continue as a going concern. The Company intends to complete its initial Business Combination within the Completion Window; however, there can be no assurance that the Company will be able to consummate a Business Combination within this period. No adjustments have been made to the carrying amounts of assets or liabilities should the Company be required to liquidate after the Completion Window. The Company's unaudited condensed financial statements do not include any adjustments that might be necessary if the Company is unable to continue as a going concern.”View the 10-Q filed Aug 11, 2026
