Resignations of Directors

On July 30, 2025, Joseph Levinson resigned as a member of the Board of Directors of NWTN Inc. (the “Company”) and any other position held by him at the Company, including the Audit Committee, effective immediately. In Mr. Levinson’s letter of resignation, he noted concerns regarding corporate governance practices, and transparency in communications, and certain proposed approaches to issuing and registering Company securities with the Securities and Exchange Commission.
