On October 27, 2020, the Board of Directors of Allegion plc (the “Company”) appointed Dev Vardhan to the Board of Directors. Mr. Vardhan, age 61, is Senior Partner at McKinsey & Company.
The Board of Directors has determined that Mr. Vardhan is an independent director under the New York Stock Exchange listing standards and the Company's Corporate Governance Guidelines.
Mr. Vardhan will serve as a member of the Compensation Committee and the Corporate Governance and Nominating Committee.
Mr. Vardhan will participate in the non-employee director compensation program, as described in the Company's definitive proxy statement filed with the Securities and Exchange Commission on April 17, 2020.
