PIPE Financing Transaction

BloomZ Inc. (the "Company") is furnishing this Report on Form 6-K to disclose that on April 22, 2025, it entered into a Securities Purchase Agreement with several non-U.S. investors. Pursuant to the Agreement, the Company successfully raised approximately US$14,000,000 through a private placement (PIPE) transaction conducted in reliance on Regulation S under the Securities Act of 1933, as amended.
