Item 8.01. Other Events.

On January 25, 2022, the Eighth Judicial District Court for Clark County, Nevada (the “Court”) entered an order providing for preliminary approval of a settlement (the “Settlement”) in connection with a shareholder derivative action captioned MarkWolery, derivatively on behalf of Blink Charging Co. v. Louis R. Buffalino et al., Case No. A-21-829395-C. In its order, the Court also approved the form of notice relating to the Settlement, and set a hearing date of April 12, 2022 at 10:00 a.m. PST to consider whether to grant final approval of the Settlement.

As required by the Court’s order, a copy of the Notice of Proposed Settlement of Derivative Action (the “Notice”) is attached hereto as Exhibit 99.1 and incorporated herein by reference. The procedure for filing a stockholder objection to the settlement is set forth in the Notice, and any description of the Notice set forth herein is qualified in its entirety by the attached exhibit.
