Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of<br> Certain Officers.

On February 26, 2020, the Company announced that James W. McGill, 64, a retired executive of Eaton Corporation, has been appointed director of the Company effective as of February 26, 2020.  He was also named to the Compensation Committee of the Board.  Mr. McGill will serve until the Company’s next Annual Meeting of Shareholders scheduled for April 24, 2020.

Mr. McGill will receive compensation consistent with the Company’s other non-employee directors as described under “Director Compensation Table and Components of Director Compensation” in the Company’s Proxy Statement filed with the U.S. Securities and Exchange Commission.

A copy of the press release related to the above actions is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Form 8-K by reference.

Badger Meter Appoints McGill to Board of Directors

MILWAUKEE--(BUSINESS WIRE)--February 26, 2020--Badger Meter, Inc. (NYSE: BMI) today announced that James W. McGill, a retired executive of Eaton Corporation, has been appointed to its Board of Directors, effective immediately. The appointment of Mr. McGill increases the size of the Board to ten members.

During his nearly 40-year tenure at Eaton Corporation, he held various management positions with increasing responsibility including Executive Vice President-Chief Human Resources Officer. Among his other roles, he was Vice President–Eaton Business System, led Electrical Segment operations in the Asia-Pacific, and ultimately retired as a Corporate Officer and President of the Electrical Sector Americas. He currently serves on the Board of Powell Industries (NASDAQ:POWL).
