Results of the extraordinary general meetingof Cadeler A/S held on 11 November 2024
Copenhagen, 11 November 2024 – Cadeler A/S (“Cadeler”) today held an extraordinary general meeting, at which all proposals were adopted as proposed in the notice convening the extraordinary general meeting, resulting in the following resolutions:

| · | Approval of the proposal from the Board of Directors to amend Article 9.1 of the Articles of Association<br>to allow for the Board of Directors to consist of up to seven members; and |

| · | Election of Thomas Thune Andersen as a new member of the Board of Directors, to serve for an initial term<br>expiring upon Cadeler’s 2026 annual general meeting. |
