On February 16, 2023, Timothy E. Schoener, a director of Citizens & Northern Corporation (the "Corporation") and its wholly-owned banking subsidiary, Citizens & Northern Bank (the "Bank"), advised the Board of Directors of his intent to retire as a director of the Corporation and the Bank, effective as of the Corporation’s 2023 Annual Meeting of Shareholders on April 20, 2023.
