Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On August 5, 2026, Splash Beverage Group, Inc. (the “Company”) filed a Certificate of Amendment (the “Amendment”) to its Articles of Incorporation with the Nevada Secretary of State to change the Company’s name. On August 6, 2026, in order to correct a scrivener’s error in the filing of the Amendment, the Company filed a Certificate of Correction with the Nevada Secretary of State to correct the change in the Company’s name pursuant to the Amendment to the correct name of “Endovia Health Sciences, Inc.”
The Amendment as corrected became effective in the State of Nevada upon filing. The name change to Endovia Health Sciences, Inc. will take effect on the NYSE American 10 days following the Company’s issuance of a press release announcing the name change, subject to adherence to certain other procedural requirements with the NYSE American.
