Following the effectiveness of the registration statement on Form F-1 (Registration No. 333-285755) on April 9, 2025, filed by Femto Technologies Inc., a British Columbia company (the “Company”), relating to the resale by selling shareholders identified therein of the Company’s Common Shares (the “Common Shares”), including Common Shares issuable upon exercise of warrants, such selling shareholders have been exercising their warrants.

As a result of such exercises, the number of issued and outstanding Common Shares as of the end of business on April 21, 2025, was 299,848,784.
