Explanatory Note

This Current Report on Form 8-K/A amends the Current Report on Form 8-K filed by First Solar, Inc. (the “Company”) with the Securities and Exchange Commission on May 10, 2023 (the “Original 8-K”).

Item 5.07.    Submission of Matters to a Vote of Security Holders

As previously reported in the Original 8-K, the Company held its 2023 annual meeting of stockholders on May 9, 2023. In light of the vote of the stockholders of the Company on Proposal No. 4 with respect to the frequency of the advisory vote on the compensation of our named executive officers, the Board of Directors of the Company has determined that the Company will hold future advisory votes on the compensation of our named executive officers on an annual basis, until the next required vote on the frequency of the stockholder advisory vote on the compensation of our named executive officers.
