Effective December 4, 2024, the Company’s Board of Directors, at the recommendation of the Audit Committee that has been separately appointed, approved the appointment of WithumSmith+Brown, PC (“Withum”) to serve as the Company’s independent registered public accounting firm. Prior to its engagement as the Company’s independent registered public accounting firm the Company had not consulted Withum with respect to the application of accounting principles to specific transactions or the type of audit opinion that might be rendered on the Company’s financial statements.
