Item5.02 Departure of Directors or Certain Officers; Appointment of Certain Officers

On December 22, 2025, Juhyon Shin submitted his resignation as Chief Financial Officer of Global Interactive Technologies, Inc. (the “Company”). The Company has evaluated and accepted the resignation and confirms that Mr. Shin is no longer serving as Chief Financial Officer.

The Company is not aware of any disagreement with Mr. Shin on matters relating to financial reporting, accounting, or disclosure that would be required to be disclosed under applicable SEC rules.

Following the resignation, the Company has engaged an external financial consultant to lead the preparation of its financial statements and to coordinate its ongoing audit process. The engagement was approved by the Company’s Board of Directors.

The Company continues to work diligently to complete its financial statements and file its Annual Report on Form 10-K.
