DURHAM, N.C. – Nov. 12, 2021 – Humacyte, Inc. (Nasdaq: HUMA), a clinical-stage biotechnology platform company developing universally implantable bioengineered human tissue at commercial scale, today announced financial results for the third quarter ended September 30, 2021, and highlighted recent corporate accomplishments.

“Humacyte has made great strides advancing our bioengineered tissue platform to create novel human acellular tissues and organs. This quarter was marked with significant corporate progress, including the closing of our business combination agreement with Alpha Healthcare and our debut on Nasdaq. We are excited about our transition to a public company, and we are laying a strong foundation of clinical, technical and infrastructure progress to support our continued advancement toward commercialization,” said Laura Niklason, M.D., Ph.D., Founder, President and Chief Executive Officer of Humacyte. “This month we will be sharing late-breaking data on the performance of HAVs manufactured with our commercial-scale LUNA200^TM^ platform. Third Quarter 2021 and Recent Corporate Highlights

Pipeline Updates

· Published laboratory and preclinical data in the Journal of Tissue Engineering<br>demonstrating the potential to engineer a biovascular pancreas as a method to transplant pancreatic islet cells for the long-term treatment<br>of type 1 diabetes.
· Continued enrolling the HAV Expanded Access Program (EAP) which improves<br>access for patients with critical vascular issues while also further demonstrating the utility and versatility of the HAV, and completed<br>the 15^th^ implant in the U.S. under this program. Researchers reported on one recent EAP case in a patient suffering from<br>severe peripheral arterial disease (PAD) and at risk of losing a leg due to poor blood flow where the HAV was used to successfully restore<br>perfusion to the leg in a bypass operation.

· Last month, the Mayo Clinic in Rochester, Minn. received acceptance of a<br>first-of-its-kind investigator-sponsored Investigational New Drug (IND) application to allow surgeons’ access to the investigational<br>HAV for treatment of patients with severe PAD. Patients with PAD who have no options for surgical bypass meeting the criteria outlined<br>in the IND may now be treated under this new investigational program. By enabling enrollment of as many as 25 subjects, the IND will allow<br>the utilization of the HAV for the treatment of severe limb ischemia, a condition that if left untreated could result in limb loss.

Corporate Updates

· Completed the business combination with Alpha Healthcare Acquisition Corp.,<br>a special purpose acquisition company, on August 26, 2021, and commenced trading of its shares of common stock and warrants<br>on the Nasdaq Global Select Market® under the ticker symbols "HUMA" and “HUMAW,” respectively. As<br>a result of the Business Combination, the Company received proceeds of $242.4 million net of offering costs, including a $175 million<br>PIPE financing.

Third Quarter Financial Highlights

· At September 30, 2021, Humacyte held $240.4 million in cash and cash equivalents,<br>which the Company believes to be sufficient to fund operations at least through the first anticipated approval and market launch of the<br>HAV in the treatment of vascular trauma.
· Research and development expenses were $15.4 million for the three months<br>ended September 30, 2021, consistent with the $14.7 million incurred for the same period in 2020. Research and development expenses for<br>both periods primarily related to advanced-stage clinical trials of the HAV, implementation of commercial-scale manufacturing, and advancement<br>of earlier-stage pipeline programs, with the current-period increase primarily related to additional payroll and personnel expenses to<br>support these initiatives.

· General and administrative expenses were $5.4 million for the three months<br>ended September 30, 2021, compared to $3.4 million for the same period in 2020. The increase was primarily due to increased professional<br>fees and other costs related to preparation for transition to public status and planned commercialization, and non-cash stock-based compensation<br>related to expansion of the leadership team.

· Net total other expenses were $11.0 million for the three months ended September<br>30, 2021, compared to $0.5 million for the same period in 2020. The majority of the increase related to a $9.8 million non-cash expense<br>resulting from quarterly remeasurement of the contingent earnout liability associated with the completed business combination.

· Net loss for the three months ended September 30, 2021, was $31.6 million,<br>or $0.72 per share, compared to a net loss of $17.8 million, or $3.07 per share, in the same period in 2020. The increase was primarily<br>due to the non-cash liability remeasurement mentioned above, combined with the increase in general and administrative expenses.
