Item 5.07. Submission of Matters to a Vote of Security Holders.

On November 3, 2020, Investcorp Credit Management BDC, Inc. (the “Company”) held its Annual Meeting of Stockholders (the “Annual Meeting”). At the Annual Meeting, the Company submitted one proposal to the vote of the Company’s stockholders, which is described in detail in the Company’s proxy statement dated September 24, 2020 (the “Proxy Statement”). As of September 15, 2020, the record date for the Annual Meeting, 13,894,635 shares of common stock were eligible to be voted. Of the shares eligible to be voted, 8,925,428 shares were voted in person or by proxy in connection with the proposal.

Below is a description of the proposal voted on at the Annual Meeting and the final results of such voting.

Proposal 1: Election of Directors

The Company’s stockholders elected two directors to serve for three-year terms expiring in 2023, or until their successors are duly elected and qualified. The voting results were as follows:
