Changes with respect to Registrant’s Certifying Accountant

On February 13, 2023, Infobird Co., Ltd. (Nasdaq: IFBD) (the “Company”) appointed WWC, P.C. Certified Public Accountants (“WWC”) as its independent registered public accounting firm for the fiscal year ending December 31, 2022. WWC replaces Marcum Asia CPAs LLP (“Marcum Asia”), the former independent registered public accounting firm, which the Company dismissed on the same date. The appointment of WWC was made after careful consideration and evaluation process by the Company and has been approved by the audit committee and the board of directors of the Company.

Prior to the engagement of Marcum Asia, Friedman LLP (“Friedman”) was the Company’s independent registered public accounting firm for the fiscal years ended December 31, 2021 and 2020 and through October 27, 2022. Friedman combined with Marcum Asia CPAs LLP (formerly known as Marcum Bernstein & Pinchuk LLP), effective September 1, 2022. The audit report of Friedman on the consolidated financial statements of the Company as of December 31, 2020 and 2021 and for the fiscal years ended December 31, 2020 and 2021 did not contain an adverse opinion or disclaimer of opinion and was not qualified or modified as to uncertainty, audit scope or accounting principles.

The Company is working closely with Marcum Asia and WWC to ensure a seamless transition.
