Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 1, 2022, Sophia Garnette, Principal Financial Officer and VP of Legal Affairs and Operations of International Stem Cell Corporation (the "Company”), submitted her resignation, to be effective on April 1, 2022.  The Company is evaluating alternatives for persons to serve as principal financial officer following Ms. Garnette’s departure. Ms. Garnette has advised the Company that she will be available to assist with any transition once her successor has been identified by the Company.
