Item 3.01 Notice of Delisting or Failureto Satisfy a Continued Listing Rule or Standard; Transfer of Listing.


On April 11, 2024, Inspire Veterinary Partners, Inc. (the “Company”) received a staff determination from The Nasdaq Stock Market (“Nasdaq”) notifying the Company that, based on the Company’s stockholders’ equity of ($788,259) as reported in the Company’s Annual Report on Form 10-K for the year ended December 31, 2023 as filed with the Securities and Exchange Commission, the Company does not meet the alternatives of market value of listed securities or net income from continuing operations. As such, the Company no longer complies with Nasdaq’s Listing Rule (the “Rule”). Accordingly, this matter serves as an additional basis for delisting the Company’s securities from Nasdaq.

The Company currently has a hearing date with the Nasdaq Hearings Panel (the “Panel”) scheduled for May 14, 2024. The Company will present its plan of compliance with respect to this additional deficiency at its Panel hearing. The Company’s securities will not be suspended or delisted while the Panel makes its determination regarding the Company’s continued listing on Nasdaq.
