This Current Report on Form 8-K/A (this “Amendment”) is being filed as an amendment to the Current Report on Form 8-K filed by Kulicke and Soffa Industries, Inc. (the “Company”) on May 29, 2020 (the “Original Form 8-K”). The Original Form 8-K was filed with the United States Securities and Exchange Commission to report, in part, that Jeff Richardson was appointed to the board of directors (the “Board”) of the Company on May 29, 2020. The purpose of this Amendment is to set forth Mr. Richardson’s compensation arrangements.

Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In connection with his appointment as a director on May 29, 2020, Mr. Richardson received a grant of shares of the Company’s common stock with a fair value of approximately $120,000 pursuant to the Company’s 2017 Equity Plan. Following his appointment, Mr. Richardson will receive compensation in accordance with policies and procedures previously approved by the Board for non-employee directors of the Company and as more fully described in the Company’s Proxy Statement on Schedule 14A relating to the 2020 Annual Meeting of Stockholders under the heading “Director Compensation for Fiscal 2019” (and such description is incorporated herein by reference).
