Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 17, 2026, the Compensation Committee (the “Committee”) of the Board of Directors of Kiniksa Pharmaceuticals International, plc (the “Company”) appointed Ross Moat as President and Chief Operating Officer, effective immediately. Mr. Moat will continue to report to Sanj K. Patel, the Company’s Chairman and Chief Executive Officer. In addition, effective January 1, 2027, the Committee approved increases in Mr. Moat’s annual base salary and annual target bonus to $700,000 and 60% from $650,000 and 55%, respectively.
Mr. Moat has served in varying capacities at the Company since June 2019, most recently as the Company’s EVP, Chief Operating Officer. In his current position, Mr. Moat oversees the Company’s commercial, clinical, regulatory and manufacturing operations. Mr. Moat’s full biographical information is disclosed in the Company’s definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on April 16, 2026.
