Item5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year


On September 17, 2024, the registrant amended its articles of incorporation. The articles of incorporation were amended for the purposes of increasing the authorized shares of the registrant from 75,000,000 shares to 150,000,000 shares consisting of 149,500,000 shares of $0.00001 par value Common Stock and 500,000 shares of $0.00001 par value Class A Common Stock.

A copy of the Certificate of Amendment to the Articles of Incorporation is attached hereto as Exhibit 3.52.
