“The projected working capital deficit and the expectation of significant future costs raises substantial doubt about the Company’s ability to continue as a going concern within one year after the date that the financial statements are issued. Additionally, management has determined that the mandatory liquidation and subsequent dissolution, should the Company be unable to complete a Business Combination by the end of the Completion Window, raises substantial doubt about the Company’s ability to continue as a going concern. Management plans to address this uncertainty through debt or equity financing and the completion of its proposed Business Combination. Each Private Unit consists of one Class A ordinary share, par value $0.0001, and one-half of one warrant. The warrants included in the Private Units will become exercisable at any time commencing 30 days after the completion of the Company's initial business combination. The warrants will expire five years after the completion of the Company's initial business combination, at 5:00 p.m., New York City time, or earlier upon redemption or liquidation. The Sponsor is the record holder of the shares reported herein.
