“In connection with NewHold's assessment of going concern considerations in accordance with ASC 205-40, "Disclosures of Uncertainties about an Entity's Ability to Continue as a Going Concern," as of June 30, 2026, NewHold has concluded that these conditions raise substantial doubt about NewHold's ability to continue as a going concern for a period of one year after the date that the unaudited condensed financial statements are issued.
