EXPLANATORY NOTE

On July 31, 2026, NewGenIVF Group Limited (Nasdaq: NIVF) (“NewGen” or the “Company”) today announced that NewGen’s total outstanding Class A shares now stand at 5,919,948 following share issuances in connection with its strategic share purchase agreements to acquire a 3% equity interest in K25.ai. Based on the closing trading price of $0.85 on July 30, 2026, the Company’s Market Value of Listed Securities reached US$5,031,956.
