Item 5.07 — Submission of Matters to a Vote of Security Holders
Northern Minerals & Exploration Ltd. (the “Company”) is pleased to announce the results of its Annual Meeting of Stockholders held on August 17, 2026.
The principal matter submitted to the Company’s stockholders was the election of two directors to serve on the Company’s Board of Directors until the next annual meeting of stockholders and until their respective successors are duly elected and qualified, or until their earlier death, resignation, or removal.
Election of Directors
The Company’s stockholders voted in favor of the election and continuation of the following individuals as directors:
- Noel Schaefer
- Jose Berhane Tewolde Serrano
The nominees received approximately 56,620,201 votes in favor, representing approximately 98% of the votes cast, and were therefore elected by a substantial majority of the stockholders voting at the Annual Meeting.
Accordingly, Mr. Noel Schaefer and Mr. Jose Berhane Tewolde Serrano will continue to serve as members of the Company’s Board of Directors until the next annual meeting of stockholders and until their respective successors are duly elected and qualified, or until their earlier death, resignation, or removal.
The Company thanks its stockholders for their participation and continued support.
