Item 7.01 Regulation FD Disclosure
On October 20, 2025, the Company issued a press release announcing HOPE Therapeutics’ completion of the strategic interest in Cohen, LLC, as further described under Item 8.01 below. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

Item 8.01 Other Events
On October 17, 2025, NRX Pharmaceuticals, Inc. (the “Company”), through its subsidiary HOPE Therapeutics, Inc., a Delaware corporation (“HOPE Therapeutics”), completed its acquisition of a strategic and minority interest in Rebecca S. Cohen, MD, LLC d/b/a Cohen & Associates, a Florida limited liability company (“Cohen, LLC”). The acquisition of the interest in Cohen, LLC was effectuated pursuant to the terms and conditions of the Membership Interest Purchase Agreement (the “Cohen Purchase Agreement”), dated October 17, 2025, by and among HOPE Therapeutics, Cohen, LLC and Rebecca S. Cohen, MD. The Cohen Purchase Agreement included customary representations and warranties and indemnification provisions and certain post-closing adjustments.
In connection with the transaction, Dr. Rebecca Cohen was appointed Medical Director of HOPE Therapeutics, and the terms of employment include certain financial incentives to establish and grow new sites of care owned or operated by HOPE Therapeutics.

MIAMI, FL., October 20, 2025 -- HOPE Therapeutics™, Inc. ("HOPE"), an interventional psychiatry network owned by NRx Pharmaceuticals, Inc. (NASDAQ: NRXP), today announced the acquisition of a strategic interest in Cohen and Associates, LLC (“Cohen, LLC”) and its incorporation into the HOPE Network. Additionally, Rebecca Cohen, MD has joined HOPE as Medical Director, overseeing medical standards of care throughout HOPE’s Florida locations.
Cohen, LLC is one of the premier interventional Psychiatry clinics in the region. The clinic offers a full range of treatments for suicidal depression, PTSD and other CNS disorders, including ketamine, Transcranial Magnetic Stimulation (“TMS”), and medication management.
Dr. Cohen is an Interventional Psychiatrist and Psychopharmacologist specializing in the treatment of mood and anxiety disorders as well as a nationally recognized expert in TMS. She founded her practice in 2014 as one of the first dedicated interventional psychiatry practices in the United States. Her academic background spans Tufts University, Boston University, where she was recipient of the psychiatry department’s Malamud Award for Excellence, and Georgetown University. Dr Cohen has been honored as a Fellow of both the American Psychiatric Association and the International Clinical TMS Society.
