Item 1.01. Entry into a Material Definitive Agreement.

On November 30, 2020, the Technology Outsourcing Agreement, dated as of January 26, 2007, as amended (the “Agreement”), by and between Oriental Bank, the banking subsidiary of OFG Bancorp, and Metavante Corporation (“Metavante”) was amended to (i) assign Metavante’s rights and obligations thereunder to Fidelity Information Services, LLC, and (ii) amend or establish certain confidential pricing terms and conditions.
