At the Special Meeting of Shareholders of Sol-Gel Technologies Ltd. (the "Company") held today, the following resolutions were approved by the shareholders:

(1)	To approve the appointment of Mr. Moshe Arkin, the current Executive Chairman of the Board of Directors [and the Company's controlling shareholder], as the interim<br> Chief Executive Officer of the Company, in addition to his role as Executive Chairman, for a term not to exceed twelve months, effective January 1, 2025, subject to and in accordance with, the provisions of the Israeli Companies Law,<br> 5759-1999, or the Companies Law; and
(2)	To approve the Company's 2024 Employees Share Incentive Plan.
