Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 8, 2020, in connection with its previously announced restructuring into three (3) distinct operating segments of Heavy Civil, Residential and Specialty Services, Sterling Construction Company, Inc. (the “Company”) appointed Con L. Wadsworth President of the Company’s Heavy Civil segment effective immediately. Mr. Wadsworth previously served as the Company’s Chief Operating Officer.

Prior to becoming the Company’s Chief Operating Officer in March 2016, Mr. Wadsworth served as President of the Company’s Ralph L. Wadsworth subsidiary and part of the Heavy Civil segment.
