On February 27, 2026, YA II PN, Ltd. ("YA II PN") purchased 125,000 Class A ordinary shares on the open market at a price of $10.4785 per share.

Yorkville Advisors Global, LP ("Yorkville LP") is the investment manager of YA II PN. Yorkville Advisors Global II, LLC ("Yorkville LLC") is the General Partner Yorkville LP. Mr. Angelo serves as President and Managing Member of Yorkville LP, and as President and Managing Member of Yorkville LLC. All investment decisions for YA II PN are made by Mark Angelo. As such, Mr. Angelo may be deemed to have beneficial ownership of the securities held by YA II PN. Mr. Angelo disclaims any beneficial ownership of the reported securities, except to the extent of his pecuniary interest therein.

On February 6, 2026, YA II PN purchased 737,691 Class A ordinary shares on the open market at a price of $10.7993 per share.

On February 4, 2026, YA II PN, Ltd. ("YA II PN") purchased 187,309 Class A ordinary shares on the open market at a price of $10.635 per share.

Yorkville Advisors Global, LP ("Yorkville LP") is the investment manager of YA II PN. Yorkville Advisors Global II, LLC ("Yorkville LLC") is the General Partner Yorkville LP. Mr. Angelo serves as President and Managing Member of Yorkville LP, and as President and Managing Member of Yorkville LLC. All investment decisions for YA II PN are made by Mark Angelo. As such, Mr. Angelo may be deemed to have beneficial ownership of the securities held by YA II PN. Mr. Angelo disclaims any beneficial ownership of the reported securities, except to the extent of his pecuniary interest therein.

On September 18, 2025, TV Partners entered into a securities purchase agreement, pursuant to which TV Partners sold and transferred an aggregate of 7,500,000 Class B ordinary shares of the Issuer to Yorkville Acquisition Sponsor II, LLC, a third party, on the same day (the "Sale").

TV Partners III, LLC ("TV Partners") is the record holder of the shares reported herein. E. Scott Crist, the former CEO and Chairman of Texas Ventures Acquisition III Corp (the "Issuer"), is the sole managing member of TV Partners. As such, Mr. Crist may be deemed to have beneficial ownership of the shares held directly by TV Partners.

As previously reported on the Form 4 of TV Partners and E. Scott Crist filed on April 28, 2025, immediately prior to the Sale, TV Partners directly held 7,500,000 Class B ordinary shares of the Issuer. As a result of the Sale, TV Partners currently holds no Class B ordinary share of the Issuer.

Representing 166,667 Class B ordinary shares of the Issuer forfeited by the Sponsor for no consideration pursuant to that certain subscription agreement dated August 1, 2024 by and between the Issuer and the Sponsor. On April 24, 2025, the Sponsor forfeited the 166,667 Class B ordinary shares of the Issuer for no consideration as the underwriters of the Issuer's initial public offering (the "IPO") do not exercise in full their over-allotment option as described in the Issuer's registration statement on Form S-1, as amended (File No. 333-284793) (the "Forfeiture").

TV Partners III, LLC (the "Sponsor") is the record holder of the shares reported herein. E. Scott Crist, CEO and Chairman of Texas Ventures Acquisition III Corp (the "Issuer"), is the sole managing member of the Sponsor. As such, Mr. Crist may be deemed to have beneficial ownership of the shares held directly by the Sponsor.

As previously reported on the Form 3 of the Sponsor and E. Scott Crist filed on April 22, 2025, immediately prior to the Forfeiture, the Sponsor directly held 7,666,667 Class B ordinary shares of the Issuer. As a result of the Forfeiture, the Sponsor currently directly holds 7,500,000 Class B ordinary shares in total.
