Item 1.01. Entry into a Material Definitive Agreement.
As previously disclosed, on April 7, 2025, Viking Global Technologies, Inc. (the “Company”), then named Camber Energy, Inc., issued to FK Venture LLC (the “Investor”) an unsecured convertible promissory note in the original principal amount of $1,200,000, which bears interest at 10% per annum and had a maturity date of September 30, 2026 (the “FK Note”). On September 30, 2026, the Company and the Investor entered into Amendment No. 1 to the FK Note (the “Amendment”). The Amendment changes the maturity date of the FK Note to the earlier of (i) April 1, 2027 or (ii) the date on which, if applicable, the Company receives written notice of a default under any promissory note then outstanding in favor of the Company’s existing senior secured lender, if the default is not remedied within seven days after receipt of the notice (a “Senior P. Note Default”). The Company must promptly give the holder a copy of any such default notice. The Amendment deletes and replaces Section 1.2 of the FK Note so that the conversion price is $0.15 per share if there is no Senior P. Note Default, or $0.02 per share if there is a Senior P. Note Default, in each case subject to proportional adjustment for stock splits. Except as expressly stated in the Amendment, all other terms of the FK Note remain in full force and effect.
The foregoing description of the Amendment is qualified in its entirety by reference to the full text of the Amendment, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 1.01.
Viking Protection Systems, LLC
On October 1, 2026, Viking Protection Systems, LLC (“VPS”), a Nevada limited liability company and an indirect majority-owned subsidiary of the Company through Viking Energy Group, Inc., a wholly-owned subsidiary of the Company, entered into a short-term loan arrangement with two accredited investors, jointly (the “Holders”), who have previously provided financing to the Company’s affiliates, including Viking Ozone Technology, LLC. VPS executed and delivered a promissory note to the Holders in the principal amount of $300,000 (the “VPS Note”). The VPS Note does not bear a stated interest rate. VPS pays a fixed interest amount equal to 10% of the principal amount, or $30,000, on or before maturity, and the principal amount plus that interest amount are payable at maturity. The VPS Note matures on the earlier of (i) December 31, 2026 or (ii) the closing of any financing transaction involving VPS as borrower. VPS may prepay the VPS Note at any time. James A. Doris, the Company’s chief executive officer and president of VPS, gave an absolute, irrevocable and unconditional personal guaranty of payment, not of collection, of VPS’s obligations under the VPS Note, including interest and enforcement costs. The Guaranty is governed by Texas law. The VPS Note describes Viking Global Technologies, Inc. as VPS’s “indirect majority shareholder.”
The VPS Note includes events of default for (i) failure to pay principal when due, if not cured within five business days; (ii) failure to perform any other material covenant, after applicable notice or cure periods; (iii) material misrepresentations; and (iv) bankruptcy or receivership events. The VPS Note does not list failure to pay interest as an event of default. Upon an event of default, the Holders may elect to accelerate the VPS Note, and interest accrues at 10% per annum.
The Company is not a party to the VPS Note. The VPS Note does not include any conversion rights or warrants.
The descriptions of the VPS Note and Guaranty are qualified by reference to the full text of those documents, filed as Exhibits 10.2 and 10.3, respectively, to this Current Report on Form 8-K and incorporated by reference into this Item 1.01.
Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
The VPS Note is a direct financial obligation of VPS, a consolidated subsidiary of the Company. The disclosure under Item 1.01 of this Current Report on Form 8-K regarding the VPS Note is incorporated by reference into this Item 2.03.
Item 9.01. Financial Statements and Exhibits.

This Note is a direct debt obligation of the Company.
c) Lost or Mutilated Note. If this Note shall be mutilated, lost, stolen or destroyed, the Company shall execute and deliver, in exchange and substitution for and upon cancellation of a mutilated Note, or in lieu of or in substitution for a lost, stolen or destroyed Note, a new Note for the principal amount of this Note so mutilated, lost, stolen or destroyed, but only upon receipt of evidence of such loss, theft or destruction of such Note, and of the ownership hereof, reasonably satisfactory to the Company.
d) Governing Law. All questions concerning the construction, validity, enforcement and interpretation of this Note shall be governed by and construed and enforced in accordance with the internal laws of the State of Nevada, without regard to the principles of conflict of laws thereof. Each party agrees that all legal proceedings concerning the interpretation, enforcement and defense of the transactions contemplated herein (whether brought against a party hereto or its respective Affiliates, directors, officers, shareholders, employees or agents) shall be commenced in the state and federal courts sitting in the City of Las Vegas, Nevada (the “Nevada Courts”). Each party hereto hereby irrevocably submits to the exclusive jurisdiction of the Nevada Courts for the adjudication of any dispute hereunder or in connection herewith or with any transaction contemplated hereby or discussed herein, and hereby irrevocably waives, and agrees not to assert in any suit, action or proceeding, any claim that it is not personally subject to the jurisdiction of such Nevada Courts, or such Nevada Courts are improper or inconvenient venue for such proceeding. Each party hereby irrevocably waives personal service of process and consents to process being served in any such suit, action or proceeding by mailing a copy thereof via registered or certified mail or overnight delivery (with evidence of delivery) to such party at the address in effect for notices to it under this Note and agrees that such service shall constitute good and sufficient service of process and notice thereof. Nothing contained herein shall be deemed to limit in any way any right to serve process in any other manner permitted by applicable law. Each party hereto hereby irrevocably waives, to the fullest extent permitted by applicable law, any and all right to trial by jury in any legal proceeding arising out of or relating to this Note or the transactions contemplated hereby. Promissory Note – Viking Protection – October, 2026
| 5 |
e) Waiver. Any waiver by the Company or the Holder of a breach of any provision of this Note shall not operate as or be construed to be a waiver of any other breach of such provision or of any breach of any other provision of this Note. The failure of the Company or the Holder to insist upon strict adherence to any term of this Note on one or more occasions shall not be considered a waiver or deprive that party of the right thereafter to insist upon strict adherence to that term or any other term of this Note on any other occasion. Any waiver by the Company or the Holder must be in writing.
f) Severability. If any provision of this Note is invalid, illegal or unenforceable, the balance of this Note shall remain in effect, and if any provision is inapplicable to any Person or circumstance, it shall nevertheless remain applicable to all other Persons and circumstances. If it shall be found that any interest or other amount deemed interest due hereunder violates the applicable law governing usury, the applicable rate of interest due hereunder shall automatically be lowered to equal the maximum rate of interest permitted under applicable law. The Company covenants (to the extent that it may lawfully do so) that it shall not at any time insist upon, plead, or in any manner whatsoever claim or take the benefit or advantage of, any stay, extension or usury law or other law which would prohibit or forgive the Company from paying all or any portion of the principal of or interest on this Note as contemplated herein, wherever enacted, now or at any time hereafter in force, or which may affect the covenants or the performance of this Note, and the Company (to the extent it may lawfully do so) hereby expressly waives all benefits or advantage of any such law, and covenants that it will not, by resort to any such law, hinder, delay or impede the execution of any power herein granted to the Holder.
g) Remedies, Characterizations, Other Obligations, Breaches and Injunctive Relief. The remedies provided in this Note shall be cumulative and in addition to all other remedies available under this Note at law or in equity (including a decree of specific performance and/or other injunctive relief), and nothing herein shall limit the Holder’s right to pursue actual and consequential damages for any failure by the Company to comply with the terms of this Note. The Company covenants to the Holder that there shall be no characterization concerning this instrument other than as expressly provided herein. Amounts set forth or provided for herein with respect to payments shall be the amounts to be received by the Holder and shall not, except as expressly provided herein, be subject to any other obligation of the Company (or the performance thereof).
h) Next Business Day. Whenever any payment or other obligation hereunder shall be due on a day other than a Business Day, such payment shall be made on the next succeeding Business Day.
i) Headings. The headings contained herein are for convenience only, do not constitute a part of this Note and shall not be deemed to limit or affect any of the provisions hereof.

Section 9. Shares & Holder’s Acknowledgements, Agreements and Representations.
a) Accredited Investor. The Holder represents and warrants that the Holder is an “accredited investor” as that term is defined in Rule 501(a) of Regulation D, and the Holder understands the Company is relying upon the truth and accuracy of such representation and warranty in order to determine the availability of specific exemptions from the registration requirements of United States federal and state securities laws to facilitate this transaction.
Section 10. Risk Factors & Use of Proceeds.
A LOAN TO THE COMPANY INVOLVES SIGNIFICANT RISK AND IS SUITABLE ONLY FOR LENDERS WHO ARE CAPABLE OF BEARING SIGNIFICANT RISKS, INCLUDING THE RISK OF LOSS OF A SUBSTANTIAL PART OR ALL OF THEIR INVESTMENT. CAREFUL CONSIDERATION OF THE FOLLOWING RISK FACTORS PROVIDED BY THE COMPANY, AS WELL AS OTHER INFORMATION IN VIKING GLOBAL TECHNOLOGIES, INC.’S (THE COMPANY’S INDIRECT MAJORITY SHAREHOLDERS) FILINGS AND REPORTS (THE “VIKING GLOBAL SEC REPORTS”) WITH THE SECURITIES AND EXCHANGE COMMISSION (“SEC”) IS ADVISABLE PRIOR TO LOANING MONEY TO THE COMPANY. PROSPECTIVE HOLDERS ACKNOWLEDGE AND AGREE THAT THEY HAVE REVIEWED VIKING GLOBAL’S SEC REPORTS, UNDERSTAND THE RISK FACTORS CONTAINED THEREIN, INCLUDING THE RISK FACTORS AND LEGAL PROCEEDINGS DISCLOSURE CONTAINED IN VIKING GLOBAL TECHNOLOGIES, INC.’S QUARTERLY AND ANNUAL REPORTS FILED WITH THE SEC, HAVE READ ALL SECTIONS OF THIS NOTE, AND ACKNOWLEDGE THAT THEY HAVE BEEN ADVISED TO CONSULT THEIR OWN LEGAL AND FINANCIAL ADVISERS BEFORE LOANING MONEY TO THE COMPANY.
10.1 There are numerous and varied risks, known and unknown, that may prevent the Company from achieving its goals. If any of these risks actually occur, the Company’s business, financial condition or results of operation may be materially adversely affected.
10.2 There is doubt about the Company’s ability to continue as a going concern due to the Company’s lack of operating history and the challenges associated with commercializing new technologies.
10.3 The Holder acknowledges and agrees that proceeds received by the Company in connection with the issuance of the Notes may be used by the Company for a variety of purposes including, without limitation, payment of fees and expenses related to the marketing and sale of its grid protection technology, payment of travel expenses, consulting fees or professional fees, reimbursement to membership interest holders of the Company for prior advances, payment of operating expenses and/or for other general working capital purposes.

DORIS (“Guarantor”), an individual residing in Prescott, Ontario, Canada, hereby absolutely, irrevocably and unconditionally guarantees to RAYMOND MENNA and VICTORIA MENNA, jointly, each an individual residing at [redacted] (“Lender”), the full and punctual payment when due (whether by acceleration or otherwise), of the indebtedness of Borrower to Lender evidenced by that certain Promissory Note dated on or about October 1, 2026, and payable to Lender in the original principal amount of THREE HUNDRED THOUSAND DOLLARS ($300,000.00) (the “Note”). This Guaranty shall not fail or be ineffective or invalid or be considered too indefinite or contingent because the amount of the Guaranteed Debt may fluctuate from time to time or for any other reason.
2. Definitions. As used herein, the following terms shall have the meanings set forth below:
(a) The term “Guaranteed Debt” shall mean the debt evidenced by the Note.
(d) The term “Obligations” shall mean all obligations and indebtedness of Borrower above guaranteed by Guarantor, and shall include (i) interest and other obligations accruing or arising after (a) commencement of any case under any bankruptcy or similar laws by or against Borrower or (b) the obligations and indebtedness of Borrower above guaranteed shall cease to exist by operation of law or for any other reason, and (ii) reasonable attorneys’ fees and expenses and other reasonable fees and expenses incurred by Lender in enforcing the terms of the Note or any documents, instruments or agreements securing payment thereof, or collecting any of the Obligations.
3. Term. 4. Primary Liability of Guarantor. This is a guaranty of payment, not of collection, and Guarantor acknowledges that Lender is not required, as a condition to establishing Guarantor’s liability hereunder, to proceed against any person or entity (including Borrower) or against any security or collateral to which Lender is entitled to look for payment or performance of the Obligations. Guarantor agrees that neither bankruptcy, insolvency, insanity, death, minority, other disability, cessation of existence or dissolution of Borrower, any party acting for or on behalf of Borrower in connection with the Obligations or any other guarantor now or hereafter existing or occurring; nor any allegation of usury, failure of consideration, or forgery, whether or not known to Lender (even though rendering all or any part of the Obligations void or unenforceable or uncollectible as against Borrower or any other guarantor) shall in any manner impair, affect, or release the liability of Guarantor hereunder, and Guarantor shall be and remain fully liable hereunder.

8. Cumulative Rights. All rights of Lender hereunder or otherwise arising under any documents executed in connection with or as security for the Obligations are separate and cumulative and may be pursued separately, successively or concurrently, or not pursued, without affecting or limiting any other right of Lender and without affecting or impairing the liability of Guarantor.
9. Applicable Law. 12. No Waiver of Right of Remedies. No failure or delay by Lender in exercising any right, power, or privilege given by any provision of this Agreement shall operate as a waiver of the provision. Additionally, no single or partial exercise of any right, power, or privilege shall preclude any other or further exercise of that or any other right, power, or privilege.
