DISCLOSURE OF SALE

Wipro Limited, a company organized under the laws of the Republic of India (the “Company”), hereby furnishes the Commission with the following information relating to the sale of its stake in Denim Group, Ltd. and Denim Group Management, LLC (collectively, “Denim Group”). The following information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

On June 2, 2021, the Company informed the securities exchanges in India on which its securities are listed and the New York Stock Exchange that it has sold its entire stake in Denim Group. Consequent to the sale, Wipro does not hold any stake in Denim Group. A copy of the letter to the securities exchanges is attached hereto as Item 99.1.

Dear Sir/Madam,

In March 2018, Wipro acquired 33.33% stake in Denim Group, Ltd. and Denim Group Management, LLC (Denim Group), a leading independent application security firm, for a consideration of US$ 8.83 million.

As part of recently announced acquisition of Denim Group by Coalfire, Wipro has sold its entire stake in Denim Group for a consideration of US$ 22.42 million. Consequent to the sale, Wipro does not hold any stake in Denim Group.
