Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
On May 29, 2025, the Board of Directors of TeraWulf Inc. (“TeraWulf” or the “Company”) appointed William Tanimoto as Chief Accounting Officer of the Company, effective June 20, 2025. In this position, Mr. Tanimoto will report to Paul Prager, TeraWulf’s Chief Executive Officer and to Patrick Fleury, TeraWulf’s Chief Financial Officer.
Mr. Tanimoto, age 34, has served as TeraWulf’s Director of Financial Reporting since August 2023, working closely with senior management, TeraWulf’s audit committee and the Company’s independent registered public accounting firms. Mr. Tanimoto has over 14 years of experience in public company audit matters. Prior to joining TeraWulf, he spent over 11 years at Deloitte LLP, most recently as Audit Senior Manager from September 2020 through November 2022, and before then as Audit Manager from September 2017 until August 2020.
There are no family relationships between Mr. Tanimoto and any director or executive officer of the Company, and Mr. Tanimoto has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
On May 23, 2025, Kenneth Deane, the Company’s Chief Accounting Officer, resigned from his role effective June 20, 2025 to focus on new professional opportunities.
