Section 5 Corporate Governance and Management

Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On February 7, 2022, Allegiant Travel Company (the “Company”) announced that Maurice J. Gallagher, Jr. plans to transition to the role of Executive Chairman as of June 1, 2022. Mr. Gallagher will continue to serve as a director and Chairman of the Board of the Company. John Redmond, currently President of the Company, will succeed Mr. Gallagher as the Company’s Chief Executive Officer and will also retain the title of President. Mr. Redmond joined the Company as President in 2016.
