On February 21, 2020, Autoliv, Inc. (“Autoliv”) issued a release (the “Release”) announcing that it has renewed its Euro Medium Term Note Programme (the “EMTN Programme”). Under the EMTN Programme, Autoliv may issue, from time to time, notes guaranteed by Autoliv ASP, Inc. (the “Guarantor”) in the equivalent amount of up to EUR 3,000,000,000 in various currencies. The EMTN Programme was renewed for a period of one year. A copy of the Release is furnished herewith as Exhibit 99.1.

Notes issued under the EMTN Programme pursuant to Regulation S under the Securities Act of 1933, as amended (the “Act”), have not been, and will not be, registered under the Act, and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons absent registration or an applicable exemption from registration requirements under the Act.

Second Quarter Dividend

In a press release dated February 20, 2020, Autoliv announced that the Board declared a quarterly dividend of $0.62 cents per share for the second quarter of 2020. The dividend will be payable on Thursday, June 4, 2020 to the Company stockholders of record on the close of business on Tuesday, May 19, 2020.

A copy of the press release dated February 20, 2020 regarding the fourth quarter dividend is filed as Exhibit 99.2 to this report and is incorporated herein by reference.

Autoliv: Board of Directors approves renewal of EMTN Programme

(Stockholm, Sweden, February 21, 2020) – The Funding Committee of the Board of Directors of Autoliv, Inc. (NYSE: ALV and SSE: ALIVsdb) (the “Company”) approves the renewal for one year of its €3,000,000,000 guaranteed euro medium term note programme (the “EMTN Programme”), which was originally established on 11 April 2019.

The renewal of the EMTN Programme will allow the Company to take advantage of the funding opportunities provided by the capital markets and institutional investors through the future issuance of notes (the “Notes”). The Notes issued by the Company under the EMTN Programme will be unconditionally and irrevocably guaranteed by the Company’s subsidiary, Autoliv ASP, Inc. (the “Guarantor”).

The base listing particulars dated 21 February 2020 (the “Base Listing Particulars”), which has been prepared by the Company and the Guarantor in connection with the EMTN Programme, has been approved by Euronext Dublin and is available for viewing on the website of Euronext Dublin (http://www.ise.ie).

Autoliv Declares Quarterly Dividend

(Stockholm, Sweden, February 20, 2020) Autoliv, Inc.(NYSE: ALV and SSE: ALIVsdb), the worldwide leader in vehicle safety systems, today announced that its Board of Directors has declared a quarterly dividend of 62 cents per share for the second quarter 2020.

The dividend will be payable on Thursday, June 4, 2020 to Autoliv shareholders of record on the close of business on Tuesday, May 19. The ex-date will be Monday, May 18, for holders of common stock listed on the New York Stock Exchange (NYSE) as well as for holders of Swedish Depository Receipts (SDRs) listed on Nasdaq Stockholm.
