Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 30, 2022, Sasha King, the Chief Marketing Officer of CareDx, Inc. (the “Company”), notified the Company of her intent to resign from the Company, effective as of the end of the day on September 16, 2022, to pursue another career opportunity. Ms. King’s resignation is not a result of any disagreement with the Company. The Company expects to enter into a consulting agreement with Ms. King pursuant to which she will provide certain consulting services to the Company for a period of time following her resignation.
