On December 3, 2022, the Board of Directors of CareDx, Inc. (the “Company”) authorized a stock repurchase program, whereby the Company may purchase up to $50 million in shares of its common stock (the “Common Stock”) over a period of up to two years, commencing on December 8, 2022 (the “Repurchase Program”). The Repurchase Program may be carried out at the discretion of a committee of the Company’s Board of Directors through open market purchases, one or more Rule 10b5-1 trading plans, block trades and in privately negotiated transactions. On December 6, 2022, the Company issued a press release announcing the Repurchase Program.

CareDx Announces $50Million Stock Repurchase Program
BRISBANE, Calif.—(BUSINESS WIRE) – CareDx, Inc. (Nasdaq: CDNA) – The Transplant Company^™^ focused on the discovery, development, and commercialization of clinically differentiated, high-value healthcare solutions for transplant patients and caregivers – today announced that its Board of Directors has authorized a common stock repurchase program of up to $50 million of shares over a period of up to 24 months.
Under the repurchase program, CareDx may purchase shares of common stock on a discretionary basis from time to time through open market repurchases, privately negotiated transactions or other means, including through Rule 10b5-1 trading plans or through the use of other techniques. The timing and number of shares repurchased, and the price of any repurchases, will depend on a variety of factors, including stock price, trading volume, and general business and market conditions. The repurchase program does not obligate CareDx to acquire a specified number of shares and may be modified, suspended, or discontinued at any time at CareDx’s discretion.
Repurchases under this program will be funded from CareDx’s existing cash and cash equivalents or future cash flow.
