Item5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements ofCertain Officers.

On January 9, 2025, Jian Liu, a member of the Board of Directors (the “Board”) of CIMG Inc. (the “Company”), notified the Company of his resignation from the Board, including his positions as a member of the audit committee, compensation committee, and nominating and corporate governance committee, effective immediately. Mr. Liu decision to resign from the Board was not the result of a disagreement with the Company on any matter relating to the Company’s operations, accounting policies or practices.
