Explanatory Note
This Amendment No. 1 on Form 8-K/A (this “Amendment”) is being filed by First Citizens BancShares, Inc. (“BancShares”) to amend the Current Report on Form 8-K filed with the Securities and Exchange Commission on January 16, 2024 (the “Original Report”). The sole purpose of this Amendment is to correct a typographical error in Item 5.02 of the Original Report. The effective date of appointment was incorrectly reported in the Original Report as January 9, 2023. This Amendment should be read in conjunction with the Original Report. Except as set forth below, the Original Report remains unchanged.

On January 16, 2024, BancShares announced the appointment of Gregory L. Smith, age 59, to the position of Chief Information & Operations Officer, effective January 9, 2024.
