Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)  FS Bancorp, Inc. (the “Company”) and its wholly-owned subsidiary, 1st Security Bank of Washington (the “Bank”), announced that Stephanie Nicklaus is no longer Chief Credit Officer at the Bank, effective February 23, 2024. The Bank has not yet determined Ms. Nicklaus’s successor and her previous job responsibilities will be fulfilled by Bank personnel that will report to the Bank's Chief Risk Officer and Chief Executive Officer.
