Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangementsof Certain Officers.

Ann D. Murtlow resigned from our board of directors effective March 16, 2020. Ms. Murtlow, a director of the company since 2013, is the President and Chief Executive Officer of United Way of Central Indiana. Due to the impact of the coronavirus (COVID-19) pandemic on the Central Indiana community, her CEO position at United Way, and United Way’s leadership role in addressing the human services challenges under these circumstances, Ms. Murtlow’s time to engage in external activities will be more limited.
