Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 19, 2026, Mr. Don T.P. Leung notified MetroCity Bankshares, Inc. (the “Company”) and Metro City Bank, the wholly owned banking subsidiary of the Company (the “Bank”), of his decision to resign as a member of the Board of Directors (the “Board”) of the Company and the Bank and as vice chairman of the Board, effective as of September 17, 2026. As a result, Mr. Leung will also be resigning as Chairman of the Company’s Credit Risk Management Committee and as a member of the Company’s Executive Committee, Nominating and Governance Committee, Information Technology Committee and Loan Committee. Mr. Leung’s decision to resign is not the result of any disagreement with the Company or its management on any matter relating to the Company’s operations, policies or practices.
