Item 5.02.  Departure of Directors or CertainOfficers; Election of Directors; Appointment of Certain Officers;

Compensatory Arrangements of Certain Officers.

(b)        On October 12, 2020, Jerome Krulewitch, Corporate Executive Vice President, General Counsel and Secretary, notified McDonald’s Corporation that he will retire from his current role, effective immediately. Mr. Krulewitch has been diagnosed with Parkinson’s disease and has been advised by doctors to step down from his role. A search is underway and until Mr. Krulewitch’s successor is identified, Mahrukh Hussain, who was serving as the U.S. General Counsel, will take on the role of Interim General Counsel and Secretary.
